about Jason
Jason Schneider brings strong business and financial credentials to the practice of corporate and tax law. As a CPA and an attorney, Jason’s combined experience in financial, tax, and legal matters has proven very beneficial in aiding his business clients throughout the company life-cycle. Jason regularly counsels clients on the tax and legal aspects of mergers, acquisitions, and divestitures as well as the business, legal and tax issues relating to global business expansion and cross-border transactions. Jason also regularly assists clients with strategic planning initiatives, corporate governance, federal and state securities regulation, and corporate finance matters.

Prior to SLG, Jason practiced with Schottenstein Zox & Dunn (now Ice Miller) in Raleigh, North Carolina, where he was a partner with the firm’s corporate and tax practice groups. He also practiced with Helms Mulliss & Wicker, PLLC (now McGuire Woods) and Poyner & Spruill, LLP in Raleigh, North Carolina. Before law school, Jason was a tax consultant with Ernst & Young, LLP in Miami, Florida, where he focused on state, local and international tax. Jason received his J.D., with honors, from the University of Florida College of Law and received his Master of Science in Taxation and his B.B.A. from the University of Miami.

  • Represent the Carolina Hurricanes NHL sports franchise and its minor league affiliates on corporate finance, securities and governance matters; act as outside general counsel on general corporate matters.
  • Represent European software company with global business restructuring, including advising on an efficient global tax structure, inter-company transfer pricing, and shifting from a reseller to a direct sales business model in U.S.
  • Represent China-based consumer services company with business, tax and legal issues relating to its global expansion plans, including its plans to extend its market presence throughout North America.
  • Regularly represents borrowers in negotiating and structuring debt financing facilities in amounts ranging from $5,000,000 to $100,000,000 and represents issuers in structuring equity capital raises in amounts ranging from $2,000,000 to $40,000,000.
  • Represents partnerships, S-corporations, C-corporations and limited liability companies in aspects of federal and state tax planning. Reviews tax issues relating to corporate acquisitions, divisions and other types of corporate restructuring transactions.
  • Serves as lead counsel in representing buyers and sellers of various sizes in structuring and negotiating mergers, acquisitions and dispositions including triangular mergers, asset purchases and stock purchases.
  • Assists issuers, underwriters, brokers/dealers, investment advisors and selling stockholders with registration and exemption requirements under the 1933 Securities Act and state Blue Sky laws.

Jason is active in the community, serving on two nonprofit boards and promoting financial literacy initiatives. In his spare time, he also competes in local sprint and Olympic distance triathlons as well as half and full marathons. Jason coached little league baseball for 12 years and is looking forward to coaching his son. When he’s not at the office, Jason enjoys spending time with his kids, Emma and Joshua, and his wife Lisa.
